General Terms and Conditions – Thribe Distribution B.V.

Article 1 – Definitions

In these general terms and conditions, the following is understood as:

• Thribe Distribution: Thribe Distribution B.V., located in Belgium.
• Customer: any natural or legal person acting in the exercise of a profession or business.
• Agreement: any agreement between Thribe Distribution and the Customer.
• Products: all goods offered and delivered by Thribe Distribution.

Article 2 – Applicability

1. These general terms and conditions apply to all offers, quotations, agreements, and deliveries from Thribe Distribution.
2. Thribe Distribution only supplies to business customers (B2B).
3. Consumers are excluded.
4. Deviations are only valid if agreed upon in writing.
5. The customer's general terms and conditions are expressly excluded.

Article 3 – Offers and Agreement

1. All offers are non-binding.
2. A contract is established after confirmation or execution of the order.
3. Thribe Distribution may refuse orders without providing a reason.

Article 4 – Registration and VAT Validation

1. Orders are only possible for companies based in the EU or the United Kingdom.
2. A valid VAT number is required.
3. Thribe Distribution may refuse orders with invalid information.

Article 5 – Prices

1. All prices are exclusive of VAT.
2. Shipping costs and fees are not included unless otherwise stated.
3. Obvious errors are not binding.
4. Price changes are allowed.

Article 6 – Payment

1. Payment via Mollie, Twikey, or on invoice.
2. Invoices must be paid within the payment term as stated on the invoice.
3. In the event of default, the Customer is automatically in default.
4. Interest and collection costs may be charged.
5. Deliveries may be suspended.

Article 7 – Delivery

1. Delivery times are indicative.
2. Delay does not entitle to compensation.
3. Risk passes upon delivery.

Article 8 – Retention of Title

1. Products remain the property until full payment is made.
2. Resale before payment is not allowed.

Article 9 – Investigation and Complaints

1. Inspection upon receipt is mandatory.
2. Report complaints in writing within 5 working days.
3. Late complaints are invalid.

Article 10 – Returns

1. Returns only with written permission.
2. Returns are at the customer's risk.
3. No right of withdrawal (B2B).

Article 11 – Liability

1. Liability limited to invoice amount.
2. No liability for indirect damage.
3. No liability for incorrect information from the Customer.

Article 12 – Force Majeure

Force majeure is understood to mean: any event beyond the reasonable control of Thribe Distribution that makes the (timely) performance of the agreement impossible or significantly more difficult.

In the event of force majeure, the obligations of Thribe Distribution shall be suspended for the duration of the force majeure situation, without compensation.

If the force majeure lasts longer than 30 calendar days, either party may terminate the agreement without compensation, without prejudice to the payment for goods or services already delivered.

Examples include (but are not limited to): government measures, import/export restrictions, pandemics, strikes, transportation or customs delays, and serious disruptions with suppliers.

Article 13 – Intellectual Property

All rights are reserved by Thribe Distribution.

Article 14 – Applicable Law

This agreement is governed by Belgian law.

In the event of a dispute, only the competent courts of the judicial district where Thribe Distribution has its registered office shall have jurisdiction.

Article 15 – Use of the website

Thribe Distribution may collect technical and statistical data about the use of its website, including through analytical tools, in order to improve the functionality, security, and performance of the website.

The processing of personal data in this context is carried out in accordance with the applicable privacy policy of Thribe Distribution.

The most recent version always applies.
